Corporate and commercial work is at the center of our practice. Our commercial practice covers advising on contracts relating to services, licensing, distribution, manufacturing, outsourcing and support and maintenance, among others.
Mergers and acquisitions form a significant part of our practice. We advise both domestic and foreign corporations on the acquisition and disposal of companies and businesses across a wide range of industries. Our work includes conducting legal due diligence on target companies on behalf of a purchaser, conducting vendor due diligence, and drafting and negotiating transaction documents through to closing. We advise foreign clients on investing in Thailand, including the available structures for market entry and the regulatory framework governing foreign investment. Our work includes advising on and applying for foreign business licenses and other government approvals that permit wholly or majority foreign-owned companies to operate in restricted business activities, as well as applications for Board of Investment (BOI) privileges.
Joint ventures are common in the Thai business landscape, and structuring them well, particularly where the parties come from different business cultures, requires both legal and practical judgment. We advise on a range of joint ventures, from new joint enterprises to collaboration on specific projects. We work with clients to find practical solutions to the issues that arise.
We advise founders, angel investors, venture capital funds, and growth-stage companies on financing transactions in Thailand and the region. Our work includes negotiating investment terms for founders and investors, and advising venture capital funds on fund formation, regulatory requirements and managing their investment vehicles.
We advise employers on the Thai laws and regulations governing the employer-employee relationship, including workforce restructuring, downsizing, and the employment aspects of M&A transactions. Our practice covers advising on employment contracts, handbooks and policies, severance arrangements, incentive programs and labour law compliance, including compensation, benefits, and provident fund matters. We also advise on disputes and on structuring employment, outsourcing, and service arrangements for staff.
We advise on compliance with anti-corruption laws, data protection regulations and competition and antitrust matters. Strong compliance practices reduce exposure to civil and criminal liability and reputational risk, and our work includes compliance due diligence, risk assessments, and advice on cross-border trade law requirements.
We advise IT suppliers, customers, and telecommunications companies on commercial IT arrangements, including software licensing, systems and applications development, support services, and outsourcing agreements. We also advise on data protection compliance for clients that operate as data controllers or data processors.
